Service Agreement

By purchasing this course, you accept the service agreement terms set and listed below by Alpha Omega Consulting ("AOC"), having its principal place of business at 3500 Barranca Parkway, Suite 310, Irvine California 92606 and you (the "Recipient"), having an address at the one provided on this sales checkout page.

WHEREAS, AOC has developed training content for chiropractors, chiropractic business owners and staff members which includes online courses via Kajabi (the "Content");

WHEREAS, AOC wants to protect its intellectual property rights in the Content and prevent unauthorized use of such rights;

NOW, THEREFORE, in consideration of the mutual covenants and agreements contained herein, the parties agree as follows:

  1. Intellectual Property Rights: AOC is the sole owner of all right, title, and interest in and to the Content, including all intellectual property rights, and the Recipient acknowledges AOC’s rights therein and agrees to respect and not infringe upon them.
  2. Use of Content: AOC grants the Recipient access to the Content solely for the purpose of learning and using the information contained therein. The Recipient shall not copy, reproduce, modify, distribute, or use the Content for any other purpose without the express written consent of AOC.
  3. Responsibility for Recipients: The Recipient acknowledges that any parties given access to the Content shall also abide by the terms of this Agreement. The Recipient will be responsible for any violations of these terms made by those given access.
  4. Confidentiality: The Recipient understands that the Content is confidential and proprietary information belonging to AOC, and the Recipient shall protect the confidentiality of the Content and not disclose it to any third party.
  5. Termination: This Agreement shall remain in effect until terminated by AOC. Solely, AOC may be the only party who has the right to terminate this Agreement at any time, with or without cause, by giving written notice to Recipient.
  6. Governing Law and Jurisdiction: This Agreement shall be governed by the laws of the state of California, without regard to its conflicts of laws principles. Any dispute arising out of or related to this Agreement shall be heard in a court of competent jurisdiction located in Orange County, California.
  7. Penalties: In the event of any breach or threatened breach of this Agreement by the Recipient, AOC shall be entitled to seek all available legal remedies, including injunctive relief and damages, under the laws of the state of California.
